These terms and conditions cover your rights and obligations in relations to all offers, quotations and sales of software, solutions and related services by Alta Systems (NI) Ltd (“Alta”) to any purchaser or potential purchaser (“Purchaser”).

Your Right to Cancel

Under the United Kingdom 's Distance Selling Regulations, you have the right to cancel the contract for the purchase of any item within seven working days of delivery. This applies to all Alta Systems (NI) Ltd (“Alta”) products.

Please state clearly your order number, the date of purchase, your name and contact details, the item you wish to cancel and the reason for the 'cancellation of contract.'

If you wish to amend an order after it has been confirmed, please contact Alta Sales Support by email, phone or fax (details above) indicating your name, order number and contact details as well as information on what you would like to amend. This will need to be received within the same working day of placing your order, or Alta will not be able to amend the order.

Wrong email Address Input

If you provide us with a wrong email address then Alta cannot be held responsible for any loss you incur as a result.

Accuracy

Every effort has been made to ensure that products are described as accurately as possible and the descriptions are intended as a guide only. Screenshots are taken on various computers and may differ with computer type.

Linking to our websites

At Alta we welcome most sites to link to us, but ask that you read and comply with the following guidelines and all applicable laws. Please be aware that due to the dynamic nature of this website, addresses are subject to change. It is therefore not advisable to link deep within the site. If you would like to use an Alta logo as a button, please contact us (details above) and we will be delighted to supply you with one, subject to the following conditions:

A site or service that links to an Alta site

Alta expressly reserves the right to require links in breach of these terms and conditions to be removed and take whatever other action it deems appropriate. Alta further reserves the right to require any links it deems inappropriate to be removed within 30 days.

Delivery Timescale

Alta products are available for use online. When you order, your transaction is processed and once verified you are notified immediately by confirmation email of your User Id and password. You can start using your Alta product when you receive your confirmation email.

Orders and Delivery

Any agreement between Alta and Purchaser shall be binding only if and to the extent that an individual order is expressly accepted by Alta in writing. Alta will have full discretion in accepting and rejecting any order.

Prices and availability of Products are subject to change without notice.

The Purchaser will pay to Alta the price of the Products published on the alta-online website at the time of purchase or within 28 days of delivery or the date of our invoice, in the case of institutional purchasers (e.g. schools, universities).

Prices include VAT which is charged in accordance with UK government regulations ruling at the time of purchase.

In the event of late payment by the purchaser we reserve the right to suspend further deliveries and charge interest at a rate of 4% over the Bank of England Base Rate in force from time to time and suspend online access to Products that have not been paid for.

Products will be deemed accepted by you on receipt of our confirmation email.

Licences

On acceptance of an order by Alta you are granted a non-exclusive, non-transferable licence to use the software supplied under the order for a fixed period of twelve months or as stated on the licence agreement.

The purchaser must observe all the copyright requirements of Alta Products, including online documentation, and ensure that where copying is permitted that all such copies carry the proprietary notices.

Warranty

Alta warrants the Product manufactured by Alta against defects in material and workmanship for a period of 12 months from the date of delivery.

All software is licensed on an "AS IS" basis. Alta makes no warranties, either expressed or implied, with respect to any software, its quality, its performance, merchantable or fitness for any particular purpose. The entire risk is with the purchaser.

Alta warrants that any service will be provided with due diligence and professional standard of care. Provided that Alta is notified within 28 days of the completion of a service, Alta will, as its sole liability, repeat the services or remedy the breach.

Intellectual Property Rights

Alta and our licensor's retains all intellectual property rights in the Products.

Disclaimer

Notwithstanding the use of the terms ‘sales' or ‘purchases' or other words suggesting transfer of ownership computer programs and software products are licensed to the Purchaser (not sold or purchased) subject to the license agreement of Alta accompanying the product.

Limitation of Liability

In case Alta, by its negligence cause accidental death, bodily injury, damage to or loss of material property its liability will not exceed £1,000,000 in respect of any one event.

In the case of Products, Alta liability will not exceed the price of the Products as purchased.

These liabilities will not apply; where loss results from defects which Alta has physically remedied within a reasonable time; indirect or consequential loss of business profits, revenue or anticipated savings; loss which could have been avoided by following Alta's reasonable advice and instruction.

In no event shall Alta be liable to the Purchaser for incidental, indirect, consequential or special damages

General

If any term or provision of the Conditions is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction, such provision shall be severed and the remainder of the provisions of the Conditions shall continue in full force and effect as if the Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.

Alta may without the consent of the Purchaser sublicense its rights or obligations or any part of the Conditions. The headings in the Conditions are for ease of refer

Entire Agreement

Each of the parties agrees that save in respect of statements made fraudulently, it shall have no remedy in respect of any untrue statement upon which it relied in entering the Agreement and that its only remedies shall be for breach of contract only and shall not affect the interpretation of any of the Conditions

Force Majeure and Governing Law

No liability can accrue to any cause beyond its reasonable control.

The order will be governed and construed in all respects in accordance with Northern Ireland Law.

Rights of Consumer

Nothing in these Conditions shall affect the statutory rights of a consumer
